Terms of Usage

The following is our Terms of Usage Policy. Please be aware that any person caught in violation of any of the rules and regulations listed below will have their ad immediately pulled without refund, and may be permanently banned from web site usage. Violation of any of the rules and regulation listed below may also cause the person(s) to experience the consequences of sever legal action taken by the buyer, or any other misinformed party. Please read the following list carefully!!!


A.) All participants must be at least 18 years of age to engage in the buying, selling, licensing, trading, and investing transactions of the intellectual property, and any of the correspondence thereof, that takes place on this web site.

B.) All advertisement content must consist of, and focus on existing patent, trademark, or copyright material; or reflect, or request, or provide assistance needed in some part of the process in moving toward obtaining, buying, selling, licensing, trading, or investing in a patent, trademark, or copyright.

C.) Upon request, the seller must be able to show proof, or traceable proof, of certification of the patented, trademarked, or copyrighted work in the form of authentic documentation, license, and/or check number for filed work. Certification consisting of documentation provided by the United States Patent & Trademark Office, the United States Copyright Office, or licensing provided by the established certification agencies of participating foreign countries is preferred and must be made readily available prior to posting.

D.) The seller must be the sole legal owner of the patent, trademark, or copyright work, and all supporting information contained within that particular set of claims, that is being posted. In the event that there is more than one legal owner for a piece of intellectual property; or in the event that an existing piece of intellectual property contains within it's entity, an existing and additional work belonging to another person(s), the seller must have the written and notarized consent, and/ or legal permission from all additional owners, before making any type of conveyance, legal, or financial transaction on behalf of the person(s); and prior to posting the issued work on this web site.

E.) Upon request, the seller must be able to show proof of ownership papers for the patented, trademarked, or copyrighted work, in the form of authentic documentation provided by the United States Patent & Trademark Office, the United States Copyright Office, documentation provided by agencies of participating foreign countries, or legal documentation from an accredited lawyer to support the ownership claim(s), or power of attorney claim(s); and documentation must be readily available along with any and all accompanying paperwork necessary for legal conveyance purposes, prior to posting on this web site.

F.) The seller is solely responsible for the accuracy, legitimacy and validity of all intellectual property, and claims contained therein, while a listing is posted, considered for purchase, when a transaction is in progress, completed, and, or at all other times during the use of this web site. The seller, or sellers may experience the consequences of sever legal action taken by the buyer, or any other misinformed party if the legitimacy rules that govern intellectual property are violated.

G.) No person shall place outdated, or invalid patented, trademarked, or copyrighted work on the web site. The transference of outdated, or invalid work may result in sever legal action taken by the buyer, or any other misinformed party. The seller must know when that the intellectual property license, issuance, or legal verification is due to expire, it is the sellers responsibility to monitor, update, and renew that verification. The updated, and renewed intellectual property verification, along with all associated information, must be amended by the seller upon receipt so that the listing posted remains current at all times.

H.) The seller is solely responsible for any and all misleading, falsified, fraudulent, invalid, stolen or felonious intellectual property, and any and all other type of unlawful claims contained therein, and extending to all intellectual property that the seller may have posted on this web site. In conjunction, the seller is solely responsible for any legal actions that may be brought against them, due to unlawful intellectual property and it's supporting claims, including, but not limited to all associated legal fees, and all associated ramifications that should arise from that legal action.

I.) The seller is solely responsible for the security and protection of their intellectual property, and all of the claims contained therein. It is the sole responsibility of the seller to have all displayed work adequately and legally protected. The IP-Exchange listing web site is a global, public forum, and therefore, placing work on this particular web site constitutes public disclosure. The IP-Exchange is not responsible, or liable for any stolen Intellectual Property, or claims contained therein, or any additional information that may be contained on, or taken from this web site.

J.) The seller is solely responsible for all of the content placed within a their listing advertisement. This includes, but is not limited to, all of the information presented in regards to the sales representation, pricing, marketing, personal data, product history, product summary, legal titles, and all construction of and contents within legal contracts. Accordingly, the seller is obligated to provide current, valid, correct, truthful, and legally protected listing information in the content of all advertisements. The IP-Exchange is not responsible for the content, or the protection of the content of any advertisement.

K.) No person shall place a link of any kind, to any additional web site, web page, or Internet address of any type, that contains pornographic, profane, prejudice, obscene, or offensive material of any kind. All Internet links placed within ads must connect to intellectual property that is for sale in the form of Patented, Trademarked, or Copyrighted work; or connection must lead to an individual, firm, business, or corporate establishment that is the legal owner, and therefore, in charge of the sale of that particular intellectual property work. All additional Internet links must connect to an individual, firm, business, or corporate establishment that is ethically fostering the growth, and development of intellectual property and the accompanying process at some stage within that process.

L.) The IP-Exchange reserves the right, and the sole discretion, to pull any listing advertisement, during any time of the listing period, that contains outdated, invalid, falsified, stolen, misleading, sexually related, foul, prejudicial, or offensive language or material; and furthermore, participants must acknowledge that the purchase price of that ad will not be returned in such case that a advertisement is pulled for any such reasons. Again, The IP-Exchange reserves the right to exercise sole discretion in defining precisely what information constitutes a violation , and therefore may pull any ad that it deems to be offensive.

M.) The IP-Exchange is a listing and exchange service only, and therefore, we do not promote, or provide any particular prototype makers, cad drawlers, marketing establishments, speakers, firms, or any promotional services, or any of the advertisements listed by private users, or the services of any of the additional clients listed on our web site. All users are advised to choose products and services based on their own judgment, proceed with caution, and at their own risk.

N.) The IP-Exchange does not promote or recommend legal council, or legal advice from any particular attorney, or law firm that may be displayed on our web site. The job of The IP-Exchange is to make various types of IP Services and IP Professionals in the intellectual property field available to our users, and to connect them with those professionals and experts, free of charge. The IP-Exchange is not responsible for any of the advice given by the attorneys, or any other professional featured on our web site, or the outcome of that advice.

O.) The 'IP Help Desk ' service is provided to assist, free of charge, in answering general questions only . Requests made to attorneys, or all other professionals featured on our web site, for more detailed, specific, or involved services will most likely result in a charge to the user. The IP-Exchange does have any control over pricing regulations, or the charges that may be accrued while obtaining such legal services. Users are advised to use their own judgment, proceed with caution, and at their own risk.

P.) The 'IP Help Desk' service, even when featuring an attorney, should never be substituted for retaining continual, and personal legal counsel during any stage of the intellectual property process. The IP-Exchange is not responsible for any of the legal or general advice given by the attorneys, or any other professional featured on our web site, or the outcome of that advice. As with all services provided in all of the listings contained on our web site, users are advised to use their own judgment, proceed with caution, and at their own risk.

Q.) All venture capital advertisements placed on this web site must be seeking funding to complete the process of an intellectual property work, or directly related project. The funding requested and accompanying business plan must be based upon a patent, trademark, or copyright work, and henceforth seeking funding to further develop that work by a particular, and clearly defined method, and expressed in writing by specific and clearly defined terms, objectives, and goals.

R.) All persons seeking venture capital funding for an intellectual property project, prototype, start up company, or for any other reason must have intellectual property work legally secured by the appropriate authorities prior to posting an advertisement seeking funding. The documented proof must be from a certified, legal agency or organization, and must be made available upon request to the Venture Capitalist, The IP-Exchange administration, or any other interested party.

S.) The IP-Exchange is not responsible for the terms, claims, methods, goals, objections, deadlines, financial obligations, or any other listing information, or criteria contained in the Business Models or Legal Contracts posted; nor can The IP-Exchange be held liable in any way for any consequences of any deals constructed, or the accompanying transactions between parties on this web site. As with all services provided in all of the listings contained on our web site, users are advised to use their own judgment, proceed with caution, and at their own risk.

The IP-Exchange strives to maintain a safe, clean, and reputable forum in order to promote the highest level of integrity, and optimize the benefits available to all of our clients. Therefore, The IP-Exchange does it's best to identify, locate and pull all improper advertisements listed on our web site. Although we do our best, we may miss an ad that is in violation from time to time. We would graciously like to extend the invitation for you to assist us in this very significant task.

If you should run across an ad that we may have missed; or discover an ad that you believe to be in violation of our rules and regulations, please call it to our attention. You can do so by e-mailing us at listings@theip-exchange.com with the intellectual property type, and title of the work, along with the search category used to locate it. Please be sure to note “violation” in the subject of the e-mail so that the staff can address it speedily. If we find that there is indeed a violation, the seller will be contacted and the ad will be revoked.

If you should run across a seller that is in violation of one of the rules listed above, or does not have current, valid, or legal documentation for their intellectual property, we urge you to report it to us as soon as possible so that the ad, and the usage privileges of that seller can be immediately revoked. All written reports should be marked as 'Invalid' and sent to listings@theip-exchange.com. At The IP-Exchange, we genuinely appreciate all of our clients efforts in making our web site the best that it can be.

Please note, in the case of serious offenses such as all misleading, falsified, fraudulent, stolen or felonious intellectual property, you should immediately seek the help of a reputable attorney that is licensed in your state, or area. Education is always the best defense against problems of fraudulent behavior. We strongly encourage that you take the time to investigate all of the individuals and companies that you are considering doing business with, before you decide to deal with them.
